MODERN SLAVERY STATEMENT
FINANCIAL YEAR ENDING 31 MARCH 2024

1. Introduction
This statement is made pursuant to Section 54 of the UK Modern Slavery Act 2015 and sets out the steps taken by Bosideng Retail Ltd ("the Company") during the financial year ending 31 March 2024 to prevent modern slavery and human trafficking in its operations and supply chains. As a subsidiary of Bosideng International Holdings Limited (HKEX: 3998), we align with the group’s commitment to ethical labour practices and human rights.

2. Our Structure, Business and Supply Chains
Bosideng Retail Ltd operates in the UK retail sector, distributing premium apparel and accessories under the BOSIDENG brand. Our operations include:

  • E-commerce platforms
  • Third-party retail partnerships
  • Physical retail presence
    Our supply chains are integrated with Bosideng International’s global network, sourcing finished goods primarily from group-managed manufacturing facilities in China, Vietnam and approved external suppliers.

3. Policies and Commitments
We adhere to the Bosideng Group’s policies, which explicitly prohibit modern slavery:

  • Anti-Corruption & Ethics Policy (*Section 6.1): Prohibits forced labour, child labour, and human trafficking.
  • Supplier Cooperation Manual (*Section 6.2): Mandates compliance with labour laws, including freedom of association and fair wages.
  • Code of Conduct for Employees: Requires all staff (including UK) to complete ethics training covering modern slavery risks.
  • Whistleblowing Policy: Enables anonymous reporting via email (shenjijiancha@bosideng.com) or hotline (+86 512 5253 8888 ext. 806517).

4. Due Diligence and Risk Assessment
While our UK operations are predominantly distribution-focused, we recognise risks in extended supply chains:

  • Tier 1 Suppliers: All direct suppliers undergo mandatory audits (100% coverage, *Section 6.2.3) assessing labour standards.
  • Raw Materials: 100% of down is RDS (Responsible Down Standard)-certified (ensuring no live-plucking/force-feeding; *Section 4.2.2).
  • High-Risk Sectors: We prioritise scrutiny of raw material procurement (e.g., cotton, down) and manufacturing partners.

5. Training and Accountability

  • UK Employees: Receive training on ethical sourcing and modern slavery indicators.
  • Procurement Teams: Participate in group-wide supplier governance programmes (8 sessions in FY2023/24; *Section 6.2.2).
  • Management Accountability: The Bosideng Sustainability Steering Group (chaired by the Group Chairman) oversees compliance.

6. Key Performance Indicators (KPIs)

  • Audit Coverage: 100% of Tier 1 suppliers audited (*Section 6).
  • Training: 100% of employees completed business ethics training (*Section 3.5.1).
  • Incidents: Zero incidents of modern slavery reported in FY2023/24 (*Section 6.1.1).
